Terms of Service

1. Acceptance of Terms

By accessing or using ClauseFort (https://clausefort.com), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and ClauseFort.

2. Description of Service

ClauseFort is an AI-powered informational tool that provides automated contract analysis for freelancers and independent contractors. The Service analyzes uploaded contract documents and generates reports containing risk assessments, clause analysis, and informational commentary.

ClauseFort is NOT a law firm. ClauseFort does NOT provide legal advice. ClauseFort does NOT create an attorney-client relationship. The analysis provided constitutes legal information only. For a full explanation of these limitations, see our Disclaimer.

3. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use ClauseFort. By using the Service, you represent and warrant that you meet this requirement.

4. User Accounts

Certain features of ClauseFort (Pro and Business plans) require account creation. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify ClauseFort immediately of any unauthorized use of your account.

You may use the free scan feature without creating an account. Each device is limited to one free scan.

5. Acceptable Use

You agree not to:

• Upload malicious files, viruses, or harmful content
• Attempt to extract, reverse-engineer, or copy the AI model, prompts, or analysis methodology
• Use automated tools, scripts, or bots to scrape or access the Service
• Upload contracts that you do not have the legal right or authorization to analyze
• Use the Service for any purpose that violates applicable law
• Attempt to circumvent rate limits, access controls, or security measures
• Resell, redistribute, or commercially exploit the Service without written permission

6. Intellectual Property

What ClauseFort owns: The platform, software, analysis methodology, AI prompts, report templates, user interface, and all related intellectual property are owned by ClauseFort and protected by applicable intellectual property laws.

What you own: You retain all rights to your uploaded contracts. ClauseFort does not claim ownership of any documents you upload or the analysis reports generated from them. You may use, share, and distribute your analysis reports freely.

7. AI-Generated Content Disclaimer

All analysis provided by ClauseFort is generated by artificial intelligence. AI-generated analysis:

• May contain errors, omissions, or inaccuracies
• May miss nuances, context, or implications that a licensed attorney would identify
• May produce results that are incomplete or not applicable to your specific jurisdiction
• Constitutes legal information, NOT legal advice
• Should not be the sole basis for any legal decision

Counter-language suggestions are presented as "commonly used alternative language" for informational purposes. They are not recommendations or legal advice.

8. No Liability for Decisions

ClauseFort is not liable for any losses, damages, costs, expenses, or consequences of any kind arising from decisions you make based on its analysis. You assume full responsibility for your legal decisions, including but not limited to decisions to sign, reject, or negotiate contracts.

9. No Guarantee of Accuracy

ClauseFort does not warrant that its analysis will be complete, accurate, current, or applicable to your situation. Contract law varies significantly by jurisdiction, contract type, and factual context. The AI may not account for all local laws, regulations, or legal precedents that could affect the enforceability or interpretation of contract clauses.

10. Payment Terms

Free scans: Limited to one scan per device. No payment required. Includes risk score and top issue only.

Single scans ($9.99): One-time purchase for a full 9-section report. Non-refundable after the report has been delivered. Report access expires after 30 days.

Pro plan ($35/month or $290/year): Billed monthly or annually. Cancel anytime — your access continues until the end of the current billing period. No prorated refunds for partial months or years.

Business plan ($149/month or $1,290/year): Same billing terms as Pro. Additional team features and seat management.

All payments are processed by Stripe. ClauseFortdoes not store credit card numbers or payment credentials. Stripe's terms and privacy policy govern all payment transactions.

11. Data Handling

Your privacy is important to us. Our data handling practices are described in detail in our Privacy Policy. Key points:

• Original contract files are processed in memory only and are never stored permanently on our servers
• Contract text is deleted immediately after analysis is complete
• Analysis results are stored according to your plan: free scans are deleted immediately, single scan reports are retained for 30 days, Pro/Business reports are retained until account deletion
• All stored data is encrypted at rest using AES-256 encryption

12. Third-Party Services

ClauseFort uses the following third-party services to operate. By using ClauseFort, you acknowledge that your data may be processed by these services in accordance with their respective privacy policies:

• Stripe — Payment processing. Stripe handles all payment data and is PCI-DSS compliant.
• Anthropic API (Claude) — AI analysis engine. Contract text is sent to Anthropic for analysis. Per Anthropic's data policy, API inputs are NOT used for model training.
• Supabase — Database hosting. User data and analysis results are stored in Supabase with encryption at rest.
• Vercel — Application hosting and edge delivery.
• Resend — Transactional email delivery (report delivery, account notifications).

13. Modifications to Terms

ClauseFort reserves the right to modify these Terms at any time. We will provide at least 30 days notice of material changes by email (for registered users) or by posting a notice on the Service. Your continued use of ClauseFort after the notice period constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

14. Termination

ClauseFort may suspend or terminate your account if you violate these Terms or engage in conduct that is harmful to the Service or other users. You may delete your account at any time from your account settings. Upon deletion, all your data will be permanently removed within 30 days.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from these Terms or the use of ClauseFort shall be resolved through binding arbitration in accordance with applicable arbitration rules, unless prohibited by local consumer protection law, in which case the courts of your jurisdiction shall have exclusive authority.

16. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ClauseFort, its operators, affiliates, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service.

ClauseFort's total aggregate liability for all claims arising from or related to the Service shall not exceed the total amount paid by you to ClauseFort in the twelve (12) months immediately preceding the event giving rise to the claim.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and ClauseFort regarding the use of the Service. Any prior agreements, representations, or understandings are superseded.
